The board of directors supports the non-executive president of the oil company, Antonio Brufau, and the director’s secretary and right-hand man, Luis Suárez de Lezo, after their indictment in the Villarejo case for spying on the former president of Sacyr Luis del Rivero.
Repsol and Telefónica will have to analyze the possible resignation of Brufau and Fainé after their imputation
As provided in its bylaws, the highest management body of the company has analyzed this Wednesday in an extraordinary session the situation of both directors and concludes that “there is no illegal conduct or contrary to the Code of Ethics and Conduct”, based on the conclusions of the different board committees, gathered in different special and monographic sessions.
“The Board of Directors publicly reiterates its firm support, as members of this body, to the President and the Secretary Director for their impeccable professional performance and their total confidence in their full personal honor, and the Company’s commitment to fully collaborate with Justice to clarify the facts ”, Repsol indicates in a note sent to the National Securities Market Commission (CNMV).
After analyzing all the relevant information on the hiring of Cenyt, the company of retired commissioner José Manuel Villarejo, and after the recent decision of the National Court to summon both Repsol officials as investigated, the different board committees “have confirmed that there is any illegal conduct or contrary to the Code of Ethics and Conduct by any director, manager or employee of the company, current or past, in relation to said hiring of information services, which was carried out by the expert and competent area for this and complying with the law and with the internal procedures of the company ”.
To reach this conclusion, Repsol’s highest management body has reviewed “the exhaustive internal investigation work on said contracting, carried out at the request of the Ethics and Compliance Committee through the Compliance area within the function it has attributed, with the forensic help of independent experts ”, and the information available to date resulting from the judicial proceedings.
In the case, in addition to Brufau, the president of Fundación Bancaria La Caixa, president of Criteria and former president of La Caixa, Isidro Fainé, who is vice president of Telefónica, is imputed. The highest management body of the operator must also analyze the situation of the Catalan manager.
